Employment and Engagement Terms
Scope of Services These terms apply to all services provided by Steven Windmill in the capacity of an interim manager, interim executive, and speaker. The specific scope of each engagement will be outlined in a formal agreement with the client, detailing responsibilities, deliverables, timelines, and other relevant details.
Terms of Payment Payment terms, including rates, schedules, and any advance payments, will be established in the engagement agreement. Unless otherwise specified, all payments are due within 10 days of invoice receipt. Failure to make timely payments may result in interest charges and/or suspension of services.
Confidentiality, Non-Disclosure, and Adherence to the Nolan Principles I am committed to maintaining the confidentiality of any proprietary or sensitive information shared during an engagement. In line with the Nolan Principles of Public Life—selflessness, integrity, objectivity, accountability, openness, honesty, and leadership—I ensure that all actions are undertaken with the highest ethical standards, both professionally and personally.
Non-Disclosure Agreement (NDA) A separate Non-Disclosure Agreement (NDA) may be executed to formalize confidentiality obligations, reinforcing principles of integrity and openness. Should a breach of confidentiality or ethical conduct arise on the part of the client, I reserve the right to terminate the engagement with immediate effect, ensuring my commitment to these standards remains uncompromised.
Client Responsibilities Clients agree to provide accurate, timely information and resources necessary for the fulfilment of my duties. If delays or issues arise due to insufficient information or support, I reserve the right to adjust timelines or terminate the engagement if necessary.
Termination of Engagement Either party may terminate the engagement for convenience with prior notice, as specified in the engagement agreement, or immediately if a breach of contract, bad faith, or other serious issues arise. In the event of termination, the client is responsible for compensating me for all services rendered and any non-refundable expenses incurred up to the date of termination.
Limitations of Liability I disclaim any liability for indirect, consequential, or incidental damages arising from or related to the performance of my duties as an interim manager, executive, or speaker. My liability shall be limited to direct damages, up to the amount paid for services under the specific engagement.
Intellectual Property and Usage Rights Any materials, presentations, or strategic frameworks developed during my engagement as a speaker or interim executive are my intellectual property unless otherwise agreed in writing. Clients may not redistribute, reproduce, or use these materials for purposes beyond the scope of the initial engagement without express written permission and/or an agreed-upon fee.
Publicity and Promotion I reserve the right to include the engagement in my portfolio, promotional materials, and case studies, provided that no confidential information is disclosed. Clients may request to withhold certain details upon mutual agreement.

Recording and Distribution Unless previously agreed, clients may not record, broadcast, or distribute my presentations or talks. I retain all intellectual property rights to my presentation content, including slides, outlines, and any supplementary materials.
Travel and Accommodation For speaking engagements requiring travel, clients are responsible for all travel and accommodation expenses, which will be outlined in the engagement agreement. Specific travel policies and expense limits may apply as negotiated with the client.
